These Terms of Service govern your use of the website and services provided by Cortexnology Software Consulting, LLC.
Cortexnology Software Consulting, LLC agrees to provide software consulting and related technology services as described in the specific proposal or agreement signed by the client. These services may include, but are not limited to, software architecture and design, custom software development, systems integration, cloud and DevOps consulting, data and analytics solutions, and ongoing support and advisory services.
To ensure the success of the engagement, the Client agrees to provide necessary and timely access to relevant systems, technical and business stakeholders, documentation, and other information reasonably required to perform the services, as well as timely review and approvals of deliverables.
Payment terms are defined in the specific service agreement or statement of work. Invoices are due upon receipt unless otherwise specified. Cortexnology Software Consulting, LLC reserves the right to pause or terminate services if payments are not made in accordance with the agreed terms.
Unless otherwise agreed in writing, all software, documentation, and other deliverables specifically created for the Client by Cortexnology Software Consulting, LLC under a fully paid engagement become the property of the Client upon full payment of all fees due. Cortexnology Software Consulting, LLC retains ownership of its pre-existing intellectual property, frameworks, templates, and know-how and may reuse them in other client engagements. Cortexnology Software Consulting, LLC may reference high-level, non-confidential aspects of the work for portfolio and self‑promotional purposes.
Either party may terminate the service agreement with written notice as specified in the contract. Upon termination, Cortexnology Software Consulting, LLC will take reasonable steps to return or make available to the Client all Client-owned credentials and data that it holds in connection with the services, subject to payment of all outstanding fees.
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cortexnology Software Consulting, LLC is registered, without regard to its conflict of law provisions.
